1. Acceptance of Terms

By accessing or using HighStrat AI ("HighStrat," "we," "us," or "our") and all related services available at highstrat.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

HighStrat AI is an AI-powered IT procurement and strategic assessment platform that helps organizations:

  • Upload and analyze procurement-related documents.
  • Generate AI-driven assessments across infrastructure, security, vendor, technology, and risk domains.
  • Benchmark IT operations against industry standards.
  • Manage procurement lifecycle projects from assessment through optimization.
  • Interact with an AI assistant for strategic guidance.

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to create an account.
  • One person or legal entity may not maintain more than one account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Upload malicious files, viruses, or harmful code.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to compete directly with HighStrat AI.
  • Share your account credentials with unauthorized third parties.
  • Scrape, crawl, or use automated means to access the Service without permission.

5. Your Data

5.1 Ownership

You retain all rights to the data and documents you upload to the Service ("Your Data"). HighStrat does not claim ownership of Your Data.

5.2 License to Us

By uploading Your Data, you grant HighStrat a limited, non-exclusive license to process, analyze, and store Your Data solely for the purpose of providing the Service to you. This license terminates when you delete Your Data or close your account.

5.3 AI-Generated Content

Assessments, recommendations, and other outputs generated by our AI ("AI Outputs") are provided for informational purposes. You are responsible for reviewing and validating AI Outputs before making business decisions based on them. HighStrat does not guarantee the accuracy, completeness, or suitability of AI Outputs.

6. Subscription and Payment

  • Certain features of the Service may require a paid subscription.
  • Subscription fees are billed in advance on a monthly or annual basis.
  • All fees are non-refundable except as required by law or as expressly stated in these Terms.
  • We reserve the right to change pricing with 30 days' notice.
  • Failure to pay may result in suspension or termination of your account.

7. Intellectual Property

The Service, including its design, features, code, AI models, and documentation, is owned by HighStrat AI and protected by intellectual property laws. These Terms do not grant you any right to use HighStrat's trademarks, logos, or branding without prior written consent.

8. Third-Party Services

The Service may integrate with third-party services (e.g., Google OAuth, cloud providers, ERP/HRIS systems). Your use of these integrations is subject to the respective third party's terms and privacy policies. HighStrat is not responsible for the availability or practices of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGHSTRAT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless HighStrat AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

  • You may terminate your account at any time by contacting us.
  • We may suspend or terminate your account for violation of these Terms or for any reason with reasonable notice.
  • Upon termination, your right to use the Service ceases immediately.
  • We will make your data available for export for 30 days following termination, after which it may be deleted.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
